The Ads in Motion was a merger for a company that CC advisors was working with, they had been scammed by someone before CC came along and the company was pretty much done for. The merger happened in Feb 2011 and the company went BK in July 2011. I don't think there was much too it.

most companies choose to be incorporated in DE and are actually based in other states for favorable tax preferences. Very common practice.
