I haven't heard a single bit of solid reasoning as to why the VCIG spinoff is necessary. Can someone enlighten me?

Just seems like a way to dilute shareholder value without having to call it dilution.

Have folks looked into other OTC stocks that have done this sort of thing? It seems that it always results in carnage.
