Actually, it really doesn't matter. Such things do matter when you are dealing with criminals. But, in this case, we are not. A culture obsessed with corporate governance issues will make rules until it becomes too rigid to do anything except pay lawyers. Real entrepreneurs, and scientists, and their investors don't think that way.
