So long as the BoD is selected by the CEO, it will do his/her bidding.

They know who gave them the job and who can as easily take it back.

That is less true than it used to be. If it were true, no CEO would ever be fired. Most CEOs today do not have much job security (or at least the ones I know don't think they do). Those darn lawyers have pressed the board members to live up to their responsibilities. Now we need to establish that a "tax bonus" is a breach of duty. That will be very difficult I'm afraid.
