Fool, DFMI was created by DFI because DFI was an S corp and couldn't complete the deal with Iterated. DFI President Simpson signed the DFMI incorporation papers in May 2000. All DFI shares were cancelled and everyone was issued DFMI shares and the entire board of DFI was moved to DFMI. Then DFI/DFMI President Simpson went to Iterated gave them a share cert for 5% of DFMI and got a new actual valid license in DFMI's name. Later, Iterated negotiated a new license with DFMI.
This story sounds complicated but its really not. All of it is backed by a very large amount of paperwork already on file at the court and nearly 100 people who were actually there who will all testify to it when the time comes. Yes, the judge was too lazy to read it and kick this case forwards but the paperwork is still there for anyone to read.
