I don’t understand why this aspect of the deal hasn’t generated more pushback from large PFE shareholders.

Well, by definition most of the "large" PFE holders are institutions. I would be surprised that any individuals are significant enough to get the attention of management or the board.

On the other hand, I followed one company (Eaton - which merged with an Irish company) where the CEO received a multi-million dollar bonus to enable him to pay his taxes on his shares, so he did not have to sell any. It bugged the heck out of me, since there were a lot of long term holders that had the same problem and did bot receive any special consideration. Will be interesting to see what rights management of PFE gets to deal with the issue.

I don't understand why PFE wants AZN in the first place, particularly at the price it seems willing to pay.
