The filing date is today; the transaction date is Feb 28. Since this is not an open-market transaction, the transaction date can be any date the company wants it to be within reason.

My guess is that the agreement between Fischer and the BoD called for the options to be priced at the previous day’s closing price relative to the date of H&N approval.
