Currently, Fellner is offering 30 billion shares at 0.0001. That will be sickeningly dilutive. He can sell up to 100 billion. But there's a problem with that: STBV is technically a shell company, but not an SEC reporter. Fellner could do a Reg D offering, but because of its shell status, Rule 144 would not be available to buyers who wished to resell. So there would be no buyers. Nobody wants to be stuck with restricted stock forever.
