Yes, I agree that the rate would likely be 28% (plus State tax).

I forgot about the AMT credit - living in a high-tax state, my AMT doesn't come with the credit you get from an ISO exercise. So that does help if you get a subsequent decline in the stock.

Of course this version is bad for the company - they don't get their normal deduction.
