On October 4, 2013, the Board of Directors of the Company (“ Board ”) approved the Authorized Share Increase and recommended to the Majority Stockholder that he approve the Authorized Share Increase. On October 4, 2013, the Majority Stockholder approved the Authorized Share Increase by written consent in lieu of a meeting in accordance with the Nevada Revised Statutes.
