It is pretty well known that poison pills are put in place for management not shareholders. You can argue it helps shareholders but really it makes it so if someone were to come along and say we will give you .50/share for the company, the company can say no because it is not in the best interest of the shareholders and this is really a $4.00/share company like some here speculate. My opinion and the opinion of many people that have seen poison pills put in place in other companies is that it lets management negotiate conditions that are more favorable to them. Hey, it may even be a $4.00 stock in the future, but that being said, I would rather that I get to make the choice as a stockholder to accept the offer or not, not management.
