The criminal charges are arising because JPM is the successor corp.

As the saying goes you buy the restaurant you also buy the cockroaches.

JPM is being stuck with Wamu's cockroaches however they were smart enough to get a backstop from the FDIC.

Same thing happened at Countrywide. Only BAC bought them on their own.
