Icahn first offered to buy VISX at that price two weeks ago, but first wanted the company to commit to taking any bid at that level directly to the shareholders.

The company responded by offering to let Icahn sign a confidentiality agreement and amending its shareholder's rights plan to permit an offer at $32 per share, but repeatedly called Icahn's offer to bid "disingenuous."

Icahn's offer to drop his proxy fight also comes less than a week after Institutional Shareholder Services, a leading independent proxy advisory board, recommended VISX shareholders vote against Icahn's slate of the directors.


The daily charts shows renewed bullishness is setting in.

Note the slow black stochs line has move from bearish down to flat today 15-5-5 and is showing an aggressive buy in 5-3-3.
