It's due to the make-up of the board. A guy named Jordan Zimmerman resigned and they are technically non-compliant until he is replaced. I saw the story go by a few days back, but I didn't think it was important.

I have seen no share sales of ARR by Mr. Zimmerman yet, for whatever that's worth.
