The other company -- Eugene had controlling (voting) interest through his preferred shares. Thus, Eugene could vote for a reverse split whenever he desired.






This is what Eugene said in a press release:

Four (4) months after this PR, Eugene did a reverse split....

•Capital Change=shs decreased by 1 for 25 split. Pay date=02/02/2011.
