Royalty Pharma:

I was curious (more to see if my recollection was accurate). Here is a link to a Royalty Pharma SEC letter.

I didn't read it all but it does appear they had to present their case as to why they could be public. I don't know if they couldn't find ways around it or just thought it wasn't worth it (judging by some of the very big acquisitions they have made they are certainly well capitalized).
