That's a fair point one problem, you are not getting the entire 268 million dollar company, you are getting a piece, certain assets, could just be one small division, could just be some product, you don't know what the certain assets are....they are already on a stock market, the whole company is not merging in here imho...it would have said in exchange for all the assets if it was a merger....this is an asset purchase.
