Most pink sheet companies have no SEC reporting obligations-hence no worry about being compliant...

Other "pink" sheet companies (NHSH)--having registered their stock with the SEC--have reporting obligations to remain compliant with the SEC...failing to report and trading on the pinks does not remove that obligation...they are at risk to having their registration revoked by the SEC and will no longer trade at that point---NHSH is flirting with that scenario as the SEC is suspending/revoking many of these companies as they get around to them...

NHSH has 3 choices: file all past reports--get permission from the SEC to file a multi year 10K--or qualify to file a Form 15...

if they could file a Form 15 they could then stay dark--or could then file a new Form 10 along with 2 years of audited financials(an option that is attractive to co's like NHSH who might have a hard time coming up with all past records)...

failure to accomplish one of those choices indeed puts them at risk for revocation/suspension/halt...
