Annual Reports Due for Florida Businesses January 1 – May 1

January 1 was the beginning of the 2010 Annual Report filing season. Every business entity (corporation, limited liability company, and limited partnership) with “active” status is required to file an annual report each year with the Department of State, Division of Corporations to maintain “active” status.

If the annual report is filed after May 1st, a late fee is required to be imposed on profit corporations, limited liability companies, and limited partnerships.

“Florida businesses are encouraged to file on or before the May 1st deadline - the earlier the better so that any errors can be corrected before the deadline,” stated Jay Kassees, director of the Division of Corporations.

Florida businesses must go to the Division of Corporations website www.Sunbiz.org to file the annual report online. Filing online is quick, easy, and secure. “How to file the annual report” appears on the front page of the website and payment can be with a credit card, prepaid account, or check. Filing fees are set by statute and vary by entity type, but when you file online the fees are figured for you.

“The Department of State is proud of www.Sunbiz.org website that gets over 20 million views a month and handles over 2.25 million electronic filings and certifications a year,” said Secretary of State Kurt S. Browning, Florida Department of State. “Even with the immense number of transactions, the Division of Corporations is able to turn-around these filings in 24 to 48 hours and maintains a 95 percent client satisfaction and approval rating. The Division is proud to serve the business entities filing here in Florida and to contribute to the reputation we have as being a business-friendly state.

The only official Division of Corporations website is www.Sunbiz.org. Please call the Division of Corporations at 850.245.6968 if you believe that another website is representing itself as the official State of Florida annual report filing website.
