Hmmmmm....

Conversion of $800,000 debt into 1,000,000 Preferred C shares:

1,000,000 Preferred C convertible into 80,000,000 common shares.

80,000,000 common shares * $.028/share = $2,240,000

Nice.....for the holder!!! Turn $800,000 into $2,240,000 instantly. Gotta love that!!!
