NOTICE OF SPECIAL MEETING OF STOCKHOLDERS



TO BE HELD ON APRIL 5, 2013



A Special Meeting of Stockholders (the “Special Meeting”) of Cereplast, Inc.
(the “Company”) will be held at the DoubleTree Hotel, 1985 East Grand Ave., El
Segundo, CA 90245-5015, on Friday, April 5, 2013, at 9:00 a.m. Pacific Time, to
consider the following proposals:



1. To approve an amendment to the articles of incorporation of the Company to
effect a reverse stock split of the Company’s common stock, at a ratio of not
less than one-for-two and not greater than one-for-fifty, with the exact ratio
to be set within such range in the discretion of the Board of Directors without
further approval or authorization of the Company’s shareholders, provided that
the Board of Directors determines to effect the reverse stock split and such
amendment is filed with the Secretary of State of Nevada no later than one year
from the date of the Special Meeting;



2. To approve an amendment to the articles of incorporation of the Company to
increase the Company’s authorized shares of common stock from 495,000,000 to
2,000,000,000; and



3. To act on such other matters as may properly come before the meeting or any
adjournment there.



BECAUSE OF THE SIGNIFICANCE OF THESE PROPOSALS TO THE COMPANY AND ITS
STOCKHOLDERS, IT IS VITAL THAT EVERY STOCKHOLDER VOTES AT THE SPECIAL MEETING IN
PERSON OR BY PROXY.
