NO PIPE + NO NOTE CONVERSION= NO DEATH SPIRAL.
If this were a death spiral the note would have been converted and the shares would have been sold off already. On the contrary the note hasn't been converted even though there has been a price drop in the shares. A death spiral would have occurred already but it hasn't because HALB is a solid company and IMO the note holder is waiting because they see good things for the company.
