Death spirals are PIPEs that have NOTHING to do with registrations!
Public sales of stock are generally GOOD because:
a) they are at a fixed price hence they are not death spirals.
b) they do not guarantee a profit to the buyer the way a death spiral does.
c) they do not drive the PPS lower and lower, as a death spiral does.
d) they do not require more and more shares to be issued, as a death spiral does.
