Scratching my head on this one.

A 20% premium for a rock solid company that appreciated close to 20% (plus div) over the last year seems silly. I never saw Heinz as anything special but it certainly didn't have any trouble making money. Heinz's stock performance closely matched the SP 500 over the last 5 years with the div as a kicker. I guess the board doesn't expect the SP to increase over time.
