There wasn't a deal yet with Knight. They simply declared their ownership stake.

I spoke with the TA a few months ago and the OS was a little over 14m.

This means Knights 5.14% holding is actually below 5% and knight did not need to declare their holdings. I for one would like to know why they felt it was important and what their plans are. After all why did Knight want to buy a %5 stake in a rather dead penny stock. A potential shell deal maybe?
