lance, just because megas didnt file and didnt have a T/A for a while doesnt mean he was deserving of criminal actions against bcit. there's nothing wrong with not filing and not having a t/a if you're a pinksheet, especially a pinksheet dormant shell. it's common. megas wasnt breaking the law. what's the big deal with that? pinksheet companies can be their own T/A.
so he was doing other things, entertaining options to reverse merge into it, etc. he took a vacation from bcit and the burden of paying folks to keep it 'current.' doesnt mean now that the sec should PENALIZE him for not filing and having an outside T/A - the SEC is the agency that allows dormant pinks to do that very thing.
sure, it would have prevented a crime, but dormant shells DONT FILE just to ward off criminal takeovers. they dont want to spend the money on auditors, lawyers, and transfer agents until they are ready to proceed with a new business plan. blaming megas for not filing and not having an active t/a is bogus, because it is not his fault he got victimized/swindled.
The SEC should treat him the same as any pinksheet. and as soon as they see his financials, perhaps they'll get more aggressive.
