A previous Grey first filed a Form 10 6 months after suspension - they were under the gun to do so for other reasons than the SEC. Two months later they withdrew it, then 1 month after that a S1 was filed. It then took another 5 filings of a S1-A over 5 months before the SEC accepted it - 1 yr 2 months from the suspension. The gang who couldn't shoot straight. They subsequently cranked out a 8K, where the wording seemed to indicate the CEO was in deeper hot water with the SEC.

The morale of the story: The SEC seems to require the registration of the shares, and for the company to disclose the true nature of its business to the stockholders. However registering the shares, doesn't mean the investigation of the CEO is over. Neither does it mean subsequently post investigation, any MM is going to risk their business on a penny stock with past involvement in fraud.
