Yes, it does. To be fully SEC reporting, a Company must have stock registered under either the Securities Act of 1933 or the Exchange Act of 1934. GDSM currently has no registered stock. Therefore, they must file a registration statement to register that stock with the SEC. That requires full SEC review and the intense scrutiny that goes with it.

It doesn't have to be an S-1, but it does need to be a registration statement with the SEC. There are other registration statements besides an S-1 they could file.
