Each shareholder must decide if this deal will result in good dilution or bad dilution.

Good dilution = pays for production, revenues, long term growth, eventual profits.

Bad dilution = keeps the doors open, lights on, salaries, permits, debts and consultant fees flowing.... but only stretches the production of great wealth fantasy out into the future.
