PNSN~~On June 2, 2012, the Board of Directors of the Company approved a retention program for the employees of the Company, PFSI and Nexa that provides incentive payments to such employees if they continue to remain employed with the Company, PFSI or Nexa, as applicable, following the closing of the transaction with Apex Holdings. Employees continue to be eligible to receive severance payments and benefits under the Penson Severance Pay Plan, as amended June 5, 2012. The Penson Severance Pay Plan was amended on June 5, 2012, to provide that employees are not eligible to receive payments under the Penson Severance Pay Plan if they receive a comparable offer of employment from Apex Holdings or an entity related to Apex Holdings.
