Can someone be considered "independent" if they previously worked for the company? I'm wondering about Jim Collier who was President until the November shareholder's meeting when he was unexplainably MIA. Although Fred Falk reassumed the President title in a letter the following day, Collier's departure was not announced until the following week.

He is still on the BOD, but oddly they omit his tenure at e.Digital in his bio. Perhaps it is an oversight, but with this company, it's hard to tell.

Would he ever be able to be considered independent, like a year following his e.Digital employment?
