After a cursory look at the complaint that you provided, I can see your point somewhat and I also find validity in your argument, however, personally I deduce that if the Hague and Douglas did commit these acts it would have had an adverse effect on shareholders, thus would create the liability on the part of the company.

The inferences in the document when mentioning the company generally with the lack of follow-up also make me of the belief that the investigation is not complete and/or ongoing.

Anyways, got stuff to do. You guys figure it out, lol.
