a dividend that wasn't declared doesn't have to be cancelled, not sure why you would suggest it does. as for 'intent' being a 'material event', you are joking right?

exactly, anyone who has read the dividend 8K understands that the dividend was never even declared and that not a single requirement for that to occur has happened. plenty of the weasel clauses have been triggered however. the dividend was indeed just a fantasy and designed to be just that, a fantasy.
