FirstEnergy Corp.is a holding company, which holds directly or indirectly eight principal electric utility operating subsidiaries: Ohio Edison Company, The Cleveland Electric Illuminating Company, The Toledo Edison Company, Jersey Central Power & Light Company, Metropolitan Edison Company and Pennsylvania Electric Company; and of its generating and marketing subsidiary, FirstEnergy Solutions Corp. On February 25, 2011, the Company and Allegheny Energy, Inc. consummated the merger (the Merger) of Element Merger Sub, Inc., a wholly owned subsidiary of FirstEnergy (Merger Sub) with and into Allegheny Energy, with Allegheny Energy surviving the Merger as a wholly owned subsidiary of FirstEnergy. In October 2011, Gunvor Group, Ltd. acquired 33% interest in the Signal Peak coal mine of the Company. In October 2011, the Company’s subsidiary FirstEnergy Generation Corp., sold Richland Plant in Defiance, Ohio, and its Stryker Plant in Stryker, Ohio, to Richland-Stryker LLC.
