I didn't realize that the By-laws were accessible online, and I have to leave the office now and don't have the time to review them to confirm your suppositions, but what you said makes perfect sense legally. It is true that the Boards of Directors of many corporations may be empowered by the by-laws to fill vacancies themselves.

I also didn't realize or recall that Morey was supposedly a director. I wonder whether the stockholders validly elected him... maybe they did.
