Further to my post - it is irrelevant whether the word "may" or "shall" was used since the word "may" is further defined in Section 4.4 by the statement "without the consent of the Holders"
"then the Board may make, without the consent of the Holders, such adjustments..........., to protect such purchase rights as aforesaid.
The above use of "may" in no way implies that the Board is not responsible at all times - ' with' or 'without' the consent of the Holders - to protect the purchase rights of the LTW Holders.
