They are grasping because to keep the pump/dump going, they need the stock to trade higher so the private placement investors don't bail from their positions.

One more point I have neglected to make: the private placement shareholders don't need the S-1 to be declared effective. They can start dumping 6 months after their date of purchase pursuant to Rule 144. So maybe that's another reason why the stock has been dropping.
