As far as I can determine:

DIFFERENCES

1) Aspacio and Dent did not have any relationship before Nissi's negotiatins to buy the Shell.

2) There is a definite difference in business plans between the two companies.

3) Dent had and still has no knowledge on how to run a company. Where Aspacio appears to have a record of sucessfully running companies. Yes, Dent supposedly ran some companies, but never a US Company. The laws in South America and Spain are far different than the laws here.

4) Aspacio seems to have some hands on interest in Nissi as evidenced by his training in Mines and Mine safety. Dent was relying and the skills of Chris Edwards and his son Matt Dent (both of questionable character)

5) Dent apparently did not listen to the third-rate business consultants MKRO hired.

6) Dent refused to invest any of his own funds in the move to buy Destination Daytona. Where as it appears Aspacio has invested in Nissi.

7) Dent lacked any third party financial support, whereas Nissi has third party investors.

8) Dent never had a financial determination and plan for what he wanted to achieve, whereas Nissi has financial projections for their plans (I do not know how reasonable the projections are, but they have been published)

9) Dent never had a definite written plan (or at least I never seen one) where there is a written business plan for Nissi.

SIMILARITIES

1) Since February (maybe slightly earlier) Grinn Ventures has been involved in both companies.

2) Little or no communications to shareholders

3) Both paint or painted promising pictures of the future (but this is true of all companies)

4) Both use the same accountants and lawyers, but this did not occur until Nissi's intentio to purchase MKRO was known.
