Davidal, I think the threshold for notification is 5%. This is not based on my knowledge of SEC law, but my investing experience in ESPERION. An offshore hedgefund that was significantly penalized for silently buying about 20% of Esperion before it was aquired by PFE. Esperion was spun off a few years later because the manufacturing process for the anti-atherosclerosing drug proved to be too difficult. Interestingly Esperion had a stable of other smaller molecules that did not pan out.

PFE has now totally divested itself of lipid therapeutic innovation. Effective generics are in place, plus they would have to compete against their own generic Lipitor in 2 months.
