N has a contract with MS. A NDA prohibits people who leave a company from interfering with any aspect of that business. Generally, an employee that leaves cannot take records, files etc. from the company. Additionally, it prohibits trying to hire away employees of the company or contacting the company's customers.

But Jeff's also has a non-compete which prohibits him from entering into a business of similar nature.

At least for two years.
