Participation Rights – The Company assigned all rights, except merchandising rights, to DreamWorks for the “Cowboys and Aliens” property. The Company must pay to DreamWorks a participation fee of 25% of net merchandising receipts related to the property. Net merchandising receipts are defined as gross merchandising revenue less a 35% administration fee less all actual direct costs less all third party payments in connection with such merchandising.
