No. MediaG3 was an entirely different company in 2007. It originally did business through two subsidiaries in China -- Oriental Media and Little Sheep. It had two executives, William Yuan, Chairman, CEO and President, and his brother Huimin Yuan, General Manager, China Operations. From the prospectus:

We were formed in December 2005, and have two wholly-owned subsidiaries, both headquartered in China, Shanghai Oriental Media Communications, Limited (“Oriental Media”) and Shanghai Little Sheep Children’s Product Development Limited (“Little Sheep”).

Oriental Media is principally engaged in the design, development and maintenance of websites, network advertisements, database management and network consulting. Little Sheep is principally engaged in the design, sales and distribution of children’s wear in the People’s Republic of China. In December of 2005, we acquired Little Sheep and Oriental Media.


It also had employees:

As of June 30, 2007, we had an aggregate of 42 employees, of which 5 were located in the United States and 37 in China. Of these employees, 8 people are engaged in engineering, 10 are in sales and marketing, 4 are in creative design, 5 are in customer support, 7 are in administration support and 8 are in management. Our employees are currently not represented by a collective bargaining agreement, and we believe that our relations with our employees are good.

In January 2009, MediaG3 sold the two China subsidiaries to CEO William Yuan for amounts owed to him, leaving no business at all in the company. A LOI to sell the former Wytec assets was announced, but the company ended up merging with Imperial Wireless, which at that time was simply Val Westergard reselling Clearwire WiMax service on a website, as he also did through his private companies of Central Systems, A4 Wireless and A2 Access. Central Systems was the actual authorized reseller - not Imperial. His Suburban previously had the A4 Wireless logo on the driver's door. It still advertises the telephone number for Central Systems on the rear door.

Disclosures filed by Val Westergard admit that he is the sole officer and that there are no employees of MediaG3.
