DD on Angels in Action Shutdown

This post is a follow-up to my prior post #18504.

I started my DD on Angels in Action with the Angel Acquistions webpage on the Divisions and the Subsidiary.

Everyone has already spotted the fact that the Palomar and Angels in Action division links are suddently "Under Construction", which is NOT the normal way to run a company website for an operating business. However, did anyone check the Angel Finance Group (AFG) subsidiary link at page bottom, the stated "administered" part of Angels in Action business that is run by President Michael Bloom?

No longer in service, and in fact the domain was not renewed when it expired at the end of June 2011.

I then checked the link for Finance Solutions of America LLC (FINSOL) and found their site working with only a contact 800 number, no business address on the site.

I checked the Florida Secretary of State site for business registration and found the following record for FINSOL:

Note, the current address in West Palm Beach was changed on 06/15/2011 from the prior address in Boca Raton. If you look at the document images at the bottom of the page, the prior address was:

The address for Boca Raton was updated from Fort Lauderdale on 1/16/2009 filing, which dates to just after the 1/6/2009 launch of the Angels In Action website and prior to the FINSOL agreement announced on 9/29/2009. The announcement mentioned creation of a Florida Corp, and here is its record:

Back to the FINSOL website. If you NOW look at the About Our Company page, you'll see info about George Bloom (only). However, that page was recently updated to drop two other folks, David and Michael Bloom. Here's is the prior page/info for all three, as it existed just a few days ago:

Finance Solutions Of America LLC was formed in 2007 in Florida. The company is privately held and does not publish any financial information.

The company has assisted several hundred clients with a variety of commercial financial services.

Senior Management for the company is as follows:


George Bloom - our founder, was a licensed realtor in the State Of New York during which time he increased the brokerage's sales from $10-15 million per annum to over $100 million. This growth was achieved primarily through the implementation of syndicated private investment transactions that encompassed both residential and commercial properties throughout the United States.

His financial background also includes working as a Series 7 licensed stock broker for many years, operating a national equipment lease company for several years and participating in hundreds of transactions of various types each requiring expertise in financial structuring and implementation.

America LLC in the latter part of 2007.

Michael Bloom - has been a natural salesman all his life. Traditional schooling did not adequately challenge him at an early age and therefore Michael was privately tutored for most of his education. Having an insatiable thirst for knowledge provided him with the motivation to learn all aspects of marketing, sales and business management. His entrepreneurial skills were amply noted before he attended High School.

Michael operated several very successful start up businesses at an early age. He also spent quite some time working for major corporations in their sales and marketing area. He joined Finance Solutions Of America in the latter part of 2007. He continues in his capacity as head of marketing for our company.

Do you see any reference to college graduation and/or degrees for any of the three? Do you see any real specifics about prior companies (names/dates) work experience? What I see are vague references ONLY with little to no real substance on claims. I also see no reference to Florida licensing for any of their stated financial and insurance services on the Services page.

Does FINSOL have a BBB rating or accreditation? No, shows "being updated by BBB".

Does a Google of "finance solutions of america llc" and "George Bloom" turn-up any useful information? Please note, the following two links are provided as reference and my posting of them does NOT imply I'm either making allegations or necessarily agree with the content. Mr. George Bloom does give response on most in self defense:

The more interesting comment in reading through those posts, is the assertion by one poster that "I have (as of last night and today) filed complaints with the State of Florida's Attorney General, the BBB, and the Florida Office of Financial Regulation (who claims that he is not a licensed broker with their offices, therefore he is misrepresenting who and what he is).". That comment (bolding added by me) was worth checking, as Florida does require licensing as do most States.

There is no record of a George Bloom licensed in Florida for anything. If you search on Bloom as last name, there are no records for George, David, or Michael. I also checked for Bonenberger to see if Harold aka Steve (middle name Steven) was registered, and no hits in the database. I then tried searches for business names (note partial names work) finance solutions, angel acquisition, angels, and angel finance with no luck. I did find an Angels Financial Mortgage Corp whos license was granted in 2005 and terminated in 2010 in Hialeah (not a clear match).

I hope this information is helpful to the board. I offer the info as part of my expanding checks on activities that could be connected with any potential SEC/DOJ investigation, per prior post on Edwards as last man standing on these company shutdowns.
