You can't stand on both sides of the LOI and say they one part is absolutely going to happen and the rest of it is garbage. You have no proof that anything has happen or hasn't happened.

A LOI is a framework for an agreement. Depending on the working relationship of the parties involved it could play out exactly as printed or they could agree to scrap it all and start over. Until we see what is in the Purchase and Sale agreement we don't know what the exact deal is.

You cannot tell me that the $1 million has to happen but the rest doesn't.
