There are rules to such offerings under the securities laws, one is that the company cannot publicize or market the offering to the general public, and a second is that anyone taking up the stock offered in such an offering must be an 'accredited investor' as defined by the SEC.
So if you are an 'accredited investor' and want to take part in the offering and the offering is not closed yet, just call the company and give them your information!
