Since Freya is a Private company, am I correct but they dont have to file anything, correct?

Also this isn't a RMerger, correct? Freya is the private shell company being bought out by a Public company, correct? That makes it a "Acquisition" correct?

This is a legit as it comes, you think Perkins would be here if it wasn't? I actually visited another Fong/Perkins company this week and it was very transparent they know what the are doing.
