Don_in_Illinois: Reverse merger accomplishes a number of things at the same time. #1) It's a cheap way out of the box that Ross and Luciano find themselves in. #2) It gives LJ a means to go public with his Larry Johnson Beverage Group (DE company). #3) It allows Ross and Luciano to pull their product license(s) from dead HFB--cursed by dismal history of product failure, discreditable reputation, and blown up share structure--and transfer it into a new publicly tradable entity that uses LJ as a newly motivated cover story. #4) It allows for a public company share structure that is dramatically small and can attract new blood. Market likely won't tolerate another R/S of HFB or A/S increase. So, what to do? #5) Most importantly, it gives Ross and Luciano another lease on life vis a vis selling shares and reaping free money. As it is, Ross and Luciano are dead in the water, as it were. Those two can't abide with that reality much longer as they are addicted to free money. Reverse merger would of course require a massive reverse split shafting HFBG shareholders, but they are shafted already.
