Without a doubt companies that do business are guilty of guillibility and failing to do their own due-dilligence. Some of these companies have market caps around $3 million so you're not dealing with highly sophisticated management teams like you would find within a multi-billion dollar company. Many of these companies, Kiwa Bio-Tech (KWBT) for example, are foreign entities doing business overseas but listed in the USA and believed Ribotsky when he presents himself as a non-adversarial investor.
There may be a few companies where Ribotsky has a PIPE structure where management knows who they are getting in bed with but feel that they have no other choice as they can not raise capital elsewhere...so it is either fold up shop immediately or suffer a prolonged death by the proverbial thousand cuts after doing a deal with Ribotsky.

You can say all you want that the company should have no better...to an extent I agree with you. But it is still blatant manipulation of the stock price of the company Ribotsky invests in when we see the company lose +50% of its value and Ribotsky's portfolio compromised of these PIPEs is up 16%.
