I agree. The offer to purchase shares directly from the market was released right after HNSS disclosed that they were going to uplist their tier on the pinksheets to 'current information'.

It is likely that HNSS gave US News Company a small window to work with in order to try and complete their transaction. This PR definitely says that this window of opportunity is now over no matter if US News got those shares or not.
