The following may be the reason for the 8K: This came out of the 10-Q report page 26 Item 4

"As of the end of the period being reported upon, the Company carried out an evaluation, under the supervision and with the participation of the
Company's management, including the Company's Chief Executive Officer and the Company's Chief Financial Officer, of the effectiveness of
the design and operation of the Company's disclosure controls and procedures. Based on the foregoing, our Chief Executive Officer and Chief
Financial Officer concluded that our disclosure controls and procedures were not effective."
